Jaime Santos has been the Firm’s managing partner since 1999. Mr. Santos is primarily engaged in the areas of hotel and resort project finance, mergers and acquisitions, secured commercial transactions, venture capital investments, and general corporate counseling. Jaime has extensive experience counseling clients in corporate and commercial matters and participating in business transactions. His finance practice involves the representation of borrowers and financial institutions in a wide variety of financing transactions, including hotel and resort financings, acquisition financings, asset based financings, real estate financings and workouts. He represents both lenders and borrowers in such financing transactions. Jaime is actively involved in the representation of venture capital investors. He is also experienced in general corporate matters, including the organization of corporations, limited liability companies, partnerships and joint ventures, the negotiation of commercial contracts, corporate governance, and counseling. In addition, Mr. Santos has extensive experience in public finance matters, including municipal finance transactions.

  • Represented financial institutions in the financing of numerous hotel and resort projects.
  • Represented local and national entities in connection with the establishment of operations in Puerto Rico and ongoing corporate, permitting and regulatory compliance matters.
  • Represented local and national financial institutions in the origination, syndication and participation of credit agreements and related facilities.
  • Represented strategic investors, private equity firms and other investors in corporate acquisitions, mergers and divestitures.
  • Served as general corporate counsel for a local financial institution, which includes counseling with respect to all aspects of its business.
  • Represented venture capital investors in the structuring, negotiation and closing of investment transactions in Puerto Rico.
  • Represented issuers, underwriters, trustees and credit enhancers in a variety of municipal finance transactions.
